Please read these Terms of Service carefully before using TranslateAI. By accessing or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using TranslateAI ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and TranslateAI ("Company," "we," "us," or "our"). We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Service. Your continued use of the Service after any changes constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically. You must be at least 18 years of age or the age of legal majority in your jurisdiction to use this Service. By using the Service, you represent and warrant that you meet this requirement.

2. Service Description

TranslateAI provides AI-powered translation services for books, manuscripts, and other written content. The Service utilizes artificial intelligence models (including but not limited to Google Gemini) to generate translations, and optionally connects users with human translators for post-editing. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." AI-generated translations are produced by machine learning models and may contain errors, inaccuracies, omissions, or inappropriate content. TranslateAI does not guarantee the accuracy, completeness, reliability, or suitability of any translation for any particular purpose. Users acknowledge that: • AI translations are approximations and may not capture all nuances of the source material • Translations may contain grammatical errors, mistranslations, or cultural inaccuracies • The quality of translations may vary depending on language pair, subject matter, and source text quality • AI models may occasionally produce unexpected, inappropriate, or nonsensical output • The Service may experience downtime, interruptions, or technical issues

3. User Responsibilities

You are solely responsible for: a) CONTENT REVIEW: Reviewing, verifying, and editing all translated content before publication, distribution, or any commercial use. You must not publish or distribute AI-generated translations without thorough human review. b) CONTENT OWNERSHIP: Ensuring you have all necessary rights, licenses, and permissions to upload and translate the content you submit to the Service. You represent and warrant that your use of the Service does not infringe upon any third party's intellectual property rights, privacy rights, or any other rights. c) ACCOUNT SECURITY: Maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. d) COMPLIANCE: Complying with all applicable local, state, national, and international laws and regulations in connection with your use of the Service. e) PROHIBITED USES: You agree not to use the Service to: • Translate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable • Translate content that infringes on intellectual property rights of others • Attempt to reverse-engineer, decompile, or extract the AI models or algorithms • Use automated systems (bots, scrapers) to access the Service without authorization • Interfere with or disrupt the Service or servers • Impersonate any person or entity • Upload malicious files or content designed to exploit the system

4. Intellectual Property

a) YOUR CONTENT: You retain all ownership rights to the original content you upload to the Service. By uploading content, you grant TranslateAI a limited, non-exclusive, worldwide license to process, store, and translate your content solely for the purpose of providing the Service. b) TRANSLATED OUTPUT: The translated output generated by the Service is provided to you for your use. However, you acknowledge that AI-generated translations may contain elements derived from the AI model's training data, and TranslateAI makes no representations regarding the originality or copyright status of AI-generated content. c) OUR INTELLECTUAL PROPERTY: The Service, including its design, features, functionality, AI models, algorithms, software, and documentation, is owned by TranslateAI and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service. d) FEEDBACK: Any feedback, suggestions, or ideas you provide regarding the Service may be used by TranslateAI without any obligation to you.

5. Payments, Credits & Refunds

a) CREDIT SYSTEM: The Service operates on a credit-based system where 1 credit = 1 word translated by AI. Credits are purchased in advance and consumed when translations are processed. Credit packages are offered at the following tiers (subject to change): • Starter: 10,000 credits — $9.99 • Author: 50,000 credits — $39.99 • Publisher: 200,000 credits — $129.99 b) WORD COUNT & CREDIT ADJUSTMENTS: Word counts are initially estimated based on file size prior to text extraction. After extraction, the actual word count may differ from the estimate. If the actual word count is lower than the estimate, excess credits will be automatically refunded to your account. If the actual word count is higher, additional credits will be deducted. TranslateAI is not responsible for inaccuracies in pre-extraction estimates. c) NO REFUNDS ON USED CREDITS: Credits that have been used for translation processing are non-refundable. Once a translation job has been initiated and credits have been consumed, no refund will be issued regardless of the quality of the translation output. d) UNUSED CREDITS: Unused credits do not expire but are non-transferable and non-refundable except as required by applicable law. e) PRICING CHANGES: We reserve the right to change credit pricing and service fees at any time without prior notice. Price changes will not affect credits already purchased. f) PAYMENT PROCESSING: All payments are processed through Stripe, Inc. By making a purchase, you agree to Stripe's terms of service and privacy policy. TranslateAI is not responsible for any issues arising from payment processing, including but not limited to declined transactions, processing errors, or security breaches on Stripe's platform. g) CHARGEBACKS & FRAUD: Fraudulent chargebacks, payment disputes filed in bad faith, or any form of payment fraud may result in immediate account suspension, forfeiture of unused credits, and potential legal action to recover losses including attorneys' fees.

6. Translation Modes & Service Levels

TranslateAI offers three distinct translation modes. By using any mode, you acknowledge and agree to the following: a) AI TRANSLATION: Fully automated translation powered by third-party AI models (including but not limited to Google Gemini and OpenAI). AI translations are generated by machine learning algorithms and are provided "as is." TranslateAI makes no warranty regarding the accuracy, fluency, cultural appropriateness, or fitness for any purpose of AI-generated translations. You are solely responsible for reviewing all AI output before use. b) DIRECT HIRE: You may browse and select a specific human translator from TranslateAI's marketplace to perform post-editing of machine translation (MTPE). Direct Hire pricing is set at a per-word rate ($0.03/word at time of writing, subject to change). TranslateAI charges a platform fee (currently 10%) and the remainder is paid to the translator. TranslateAI does not employ these translators and makes no guarantee regarding their availability, quality, speed, or reliability. c) MARKETPLACE: You may post your translation job to the open marketplace, providing details such as word count, genre, target language, and a description. Qualified translators may submit proposals. You select the translator and agree to terms. TranslateAI acts solely as a platform facilitator and is not a party to the agreement between you and the translator. d) PLATFORM ROLE: In all human translation modes, TranslateAI acts exclusively as a technology platform connecting authors with independent translators. TranslateAI is not a translation agency, does not perform translations, and does not supervise translators' work. TranslateAI is not responsible for the quality, accuracy, timeliness, or completeness of any human translator's work. e) TRANSLATOR VETTING: While TranslateAI requires translators to pass language proficiency quizzes and undergo admin review before being approved, this vetting process does not constitute a professional certification, guarantee of competence, or endorsement of any translator's abilities. Vetting is performed on a best-effort basis and TranslateAI disclaims all liability arising from any translator's performance.

7. Escrow, Payouts & Dispute Resolution for Human Translation

a) ESCROW SYSTEM: When you hire a human translator (via Direct Hire or Marketplace), your payment is held in escrow by our payment processor (Stripe). Funds are not released to the translator until you approve the completed work or the escrow period expires according to the terms below. b) ESCROW RELEASE: Escrow funds are released to the translator when: • You explicitly approve and finalize the completed translation, OR • 14 calendar days have elapsed since the translator submitted the completed work without you raising a dispute ("automatic release"). c) DISPUTES: If you are dissatisfied with the human translation, you must raise a dispute within the 14-day review period. TranslateAI may, at its sole discretion, mediate disputes but is under no obligation to do so. TranslateAI's decision in any mediation is final and binding. d) REFUND LIMITATIONS: Escrow refunds for human translation are handled on a case-by-case basis at TranslateAI's sole discretion. TranslateAI is not obligated to issue refunds for completed human translation work, even if you are dissatisfied with the quality. e) TRANSLATOR PAYOUTS: Translators receive payouts via Stripe Connect. TranslateAI deducts a platform fee (currently 10%) from each transaction. Payout timing is subject to Stripe's processing schedule and TranslateAI is not responsible for payout delays caused by Stripe or the translator's banking institution. f) CANCELLATION: If you cancel a job after payment but before the translator begins work, TranslateAI will refund the escrow amount minus any applicable processing fees. Once a translator has begun work, cancellation refunds are at TranslateAI's sole discretion. g) NO GUARANTEE OF OUTCOME: TranslateAI does not guarantee that using the escrow system will result in satisfactory translations. The escrow system is a payment facilitation mechanism, not a quality guarantee.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: THE SERVICE IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS." TRANSLATEAI EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO: • IMPLIED WARRANTIES OF MERCHANTABILITY • FITNESS FOR A PARTICULAR PURPOSE • NON-INFRINGEMENT • ACCURACY OR COMPLETENESS OF TRANSLATIONS • UNINTERRUPTED OR ERROR-FREE SERVICE • SECURITY OF DATA TRANSMISSION OR STORAGE • COMPATIBILITY WITH ANY PARTICULAR SOFTWARE OR HARDWARE TRANSLATEAI DOES NOT WARRANT THAT: • THE SERVICE WILL MEET YOUR REQUIREMENTS • THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE • THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE • ANY ERRORS IN THE SERVICE WILL BE CORRECTED • THE TRANSLATIONS WILL BE FREE FROM ERRORS, OMISSIONS, OR INACCURACIES YOU ACKNOWLEDGE THAT AI-GENERATED TRANSLATIONS ARE INHERENTLY IMPERFECT AND THAT YOU USE THE SERVICE AT YOUR OWN RISK. YOU ARE SOLELY RESPONSIBLE FOR ANY DECISIONS OR ACTIONS TAKEN BASED ON THE TRANSLATED CONTENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: IN NO EVENT SHALL TRANSLATEAI, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: • DAMAGES FOR LOSS OF PROFITS, REVENUE, OR BUSINESS • LOSS OF DATA OR CONTENT • LOSS OF GOODWILL OR REPUTATION • COST OF PROCUREMENT OF SUBSTITUTE SERVICES • DAMAGES ARISING FROM ERRORS, INACCURACIES, OR OMISSIONS IN AI OR HUMAN TRANSLATIONS • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA • DAMAGES ARISING FROM PUBLICATION OF INACCURATE TRANSLATIONS • DAMAGES ARISING FROM DISPUTES BETWEEN AUTHORS AND TRANSLATORS • DAMAGES ARISING FROM STRIPE PAYMENT PROCESSING ISSUES • DAMAGES ARISING FROM ESCROW RELEASE, REFUND DECISIONS, OR PAYOUT DELAYS • ANY OTHER INTANGIBLE LOSSES WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF TRANSLATEAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL TRANSLATEAI'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO TRANSLATEAI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to indemnify, defend, and hold harmless TranslateAI, its directors, officers, employees, agents, partners, suppliers, and affiliates from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: a) Your use of the Service b) Your violation of these Terms c) Your violation of any rights of any third party d) Content you upload, translate, publish, or distribute using the Service e) Any claim that your content or use of translated content caused damage to a third party f) Your publication or distribution of AI-generated translations without adequate review g) Any inaccuracy in translations that you published or distributed h) Your failure to comply with applicable laws or regulations This indemnification obligation shall survive the termination of these Terms and your use of the Service.

11. Translator Marketplace Terms

a) INDEPENDENT CONTRACTORS: Human translators available through the Service are independent contractors, not employees, agents, or representatives of TranslateAI. TranslateAI does not control, direct, or supervise translators' work methods, schedule, or output. TranslateAI does not guarantee the quality, accuracy, timeliness, or completeness of any human editing or translation services. b) TRANSLATOR QUALIFICATION: While TranslateAI requires translators to pass language proficiency quizzes and undergo admin review, this vetting process is limited in scope and does not constitute a guarantee of translation quality, professional certification, or endorsement. TranslateAI disclaims all liability for translator performance. c) TRANSLATOR STRIPE CONNECT: Translators must complete Stripe Connect onboarding to receive payouts. TranslateAI is not responsible for any issues with translator payout accounts, tax obligations, or banking matters. Translators are solely responsible for their own tax reporting and compliance. d) DISPUTES: Any disputes between authors and translators regarding the quality, timeliness, or scope of human translation services should be resolved directly between the parties. TranslateAI may, at its sole discretion, mediate disputes but is under no obligation to do so. TranslateAI's mediation decisions are final. e) TRANSLATOR LIABILITY: TranslateAI is not liable for any errors, omissions, damages, losses, or claims arising from human translators' work. The author is ultimately and solely responsible for reviewing all translated content before publication or distribution. f) NO EMPLOYMENT RELATIONSHIP: Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between TranslateAI and any translator. TranslateAI has no liability for translators' actions, omissions, tax obligations, or legal compliance.

12. Data & Privacy

a) DATA PROCESSING: By using the Service, you acknowledge that your content will be processed by third-party AI services (including Google Gemini and OpenAI). Your content may be transmitted to and processed on servers located outside your jurisdiction. b) DATA RETENTION: We retain your uploaded content and translations for the purpose of providing the Service. You may request deletion of your data in accordance with our Privacy Policy. c) NO GUARANTEE OF CONFIDENTIALITY: While we implement reasonable security measures, we cannot guarantee the absolute security or confidentiality of your content. You should not upload content that requires absolute confidentiality without understanding these risks. d) PRIVACY POLICY: Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Termination

a) BY YOU: You may terminate your account at any time by contacting us. Termination does not entitle you to a refund of unused credits except as required by applicable law. b) BY US: We may suspend or terminate your account at any time, with or without cause, with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, fraudulent activity, or abusive behavior. c) EFFECT OF TERMINATION: Upon termination, your right to use the Service ceases immediately. We may delete your account data after a reasonable period following termination. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law.

14. Governing Law & Dispute Resolution

a) GOVERNING LAW: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. b) ARBITRATION: Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in English and shall take place in Wilmington, Delaware. c) CLASS ACTION WAIVER: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. d) SMALL CLAIMS: Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdiction. e) INJUNCTIVE RELIEF: Nothing in these Terms prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

15. Force Majeure & Miscellaneous

a) FORCE MAJEURE: TranslateAI shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to: natural disasters, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, internet or telecommunications failures, power outages, or third-party service provider failures. b) ENTIRE AGREEMENT: These Terms, together with the Privacy Policy, constitute the entire agreement between you and TranslateAI regarding the Service and supersede all prior agreements and understandings. c) SEVERABILITY: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. d) WAIVER: The failure of TranslateAI to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. e) ASSIGNMENT: You may not assign or transfer these Terms or your rights under these Terms without our prior written consent.
